His experience is expansive ranging, including large project management, long wall moves, conveyor installations and maintenance, and operational management in mining and engineering. David has worked in the mining industry for more than 20 years in a variety of roles including occupational health and safety leadership, risk assessment and management and safety training. Neil has extensive experience in the underground coal mining industry, particularly in the areas of roadway development, long wall operations and mine services. The Board is responsible for the overall corporate governance of Delta BSD. Sets and reviews strategic direction and approves the annual operating budget. Full Board papers are prepared and circulated to Directors in advance of each meeting to ensure that Directors are made mindful of stylish and forthcoming issues suitable to Delta BSD’s operations, safety and financial performance. Reviewing the performance of the Board and its committees. Outer audit assessment of approach and evaluation of performance and remuneration. Take and review responses to code of ethics and value complaints from clients, employees and external service providers. The Board and the Audit and Compliance Committee will review the performance of and monitor the independence of the external auditor on an annual basis. The role of the Risk Committee is to support and advise the Board of Delta BSD to confront its responsibilities and objectives in relation to health, safety and environment related matters arising out of the activities and operations of the Company. Recommending to the Board have a health, safety and environment policy, clearly setting out the commitments of the Company to manage health, safety and environment related matters effectively. Monitoring the performance of the Company with respect to the implementation of a health, safety and environment management system designed to ensure the commitments made in the policy are being met and that health, safety and environment related risks are being assessed, eliminated, avoided or controlled. The Remuneration Committee has responsibility for the following: Preparing for the Board any report that may be needed lower applicable legal or regulatory requirements in relation to remuneration matters. Importantly, Delta BSD is committed to having a Board whose members have the capacity to act independently and have the composite skills to optimism its financial and operational performance and maximize returns to all shareholders.
